- Web Performance & Security Auditing
- Platform Maintenance & DevOps Support
- Technical Architecture Consulting & Code Audits
3. Client Responsibilities
Clients are responsible for:
- Providing accurate project requirements, design specifications, and server access necessary for project delivery
- Timely payment of all milestone invoices and service retainers
- Providing prompt feedback and milestone approvals within agreed sprint timeframes
- Maintaining confidentiality of login credentials, API keys, and repository access
- Ensuring all business assets and content comply with applicable regulations
4. Payment Terms
Our payment structure is designed to be transparent and predictable:
- Project work is billed according to agreed sprint milestones or monthly service retainers
- Payment is due within 15 days of invoice date
- Late payments may incur additional administrative fees
- Sprint delivery may be paused for outstanding past-due invoices
- All fees are subject to our Refund Policy guidelines
5. Intellectual Property
We respect your product ownership while protecting our underlying technical methodologies:
- Client retains full ownership of their brand, domain, and custom application codebase upon full payment
- TOBONHI LLC retains ownership of proprietary developer frameworks, reusable utility libraries, and boilerplate templates
- Custom assets created specifically for clients become client property upon final settlement
- Neither party may use the other's trademarks without prior written consent
6. Confidentiality
Both parties agree to maintain confidentiality of:
- Proprietary source code, software architecture, and database schemas
- Customer data, user lists, and business metrics
- Project roadmaps, financial budgets, and contract terms
- Proprietary engineering workflows and internal methodologies
- Any information marked as confidential or proprietary
7. Limitation of Liability
TOBONHI LLC liability is limited as follows:
- Total liability shall not exceed the amount paid for web engineering services in the preceding 12 months
- We are not liable for indirect, incidental, or consequential damages
- We do not warrant uninterrupted third-party cloud provider availability or upstream API downtime
- Client assumes responsibility for business decisions made utilizing deployed web systems
8. Termination
Either party may terminate the agreement:
- With 30 days written notice for convenience
- Immediately for material breach of contract
- Immediately for non-payment after notice period
9. Governing Law
These terms are governed by the laws of the State of Florida, United States. Any legal action must be brought in the courts of Florida.
